BagyesRIDER — Ride. Deliver. Earn
Independent Courier Services on the BagyesRUSH Platform
Version: 1.0
Effective date: 12 October 2026
Territory: Republic of Ghana
This Rider/Driver Agreement (the “Agreement”) is made between:
(A) BagyesRUSH Delivery a company/business registered into Ghana with registration number BN080822017, and registered office in Accra (the “Company”, “BagyesRUSH Delivery”, “we”, “us” or “our”); and
(B) Any Independent Rider/Driver on BagyesRIDER app (the “Rider / Driver”, “you”).
BagyesRUSH and the Rider or Driver are each a Party and together are Parties.
1. Purpose and appointment
1.1 BagyesRUSH operates or makes available the BagyesRUSH technology platform (the “Platform”) for coordinating food and parcel deliveries.
1.2 Subject to this Agreement, BagyesRUSH appoints the Rider or Driver on a non-exclusive, independent-contractor basis to accept and perform delivery opportunities displayed or allocated through the Platform (each a “Delivery”).
1.3 The Rider or Driver may accept or decline a Delivery before acceptance, subject to the Platform rules, service standards and any lawful safety or fraud controls. Nothing in this Agreement guarantees a minimum number of Deliveries, minimum earnings, working hours or a particular territory.
1.4 BagyesRUSH may engage other riders or drivers and delivery providers. The Rider or driver may provide services to other businesses, provided that doing so does not create a conflict, misuse BagyesRUSH confidential information, compromise a Delivery, or breach applicable law.
2. Independent contractor relationship
2.1 The Rider or Driver is an independent contractor and is not an employee, agent, partner, joint venturer or franchisee of BagyesRUSH, except that the Rider or Driver is authorised only to collect and deliver items as expressly described in an accepted Delivery.
2.2 The Rider controls the manner, route and time of performing a Delivery, subject to: (a) agreed pickup and delivery windows; (b) customer, merchant and recipient instructions; (c) Platform procedures; and (d) Ghanaian law and safe-riding requirements.
2.3 The Rider is not entitled to salary, paid leave, pension, SSNIT contributions, overtime, employee benefits, workers’ compensation or other employment benefits from BagyesRUSH, except to the extent a non-waivable law provides otherwise based on the actual relationship between the Parties.
2.4 The Rider or driver is responsible for registering and paying all taxes, levies, social-security obligations and other statutory charges applicable to the Rider’s or driver’s independent business. The Rider or Driver must provide valid taxpayer information where lawfully required. The Parties acknowledge that the Ghana Revenue Authority states that individuals, including self-employed persons, should register for tax using their Ghana Card/ECOWAS Card PIN and the taxpayers portal where applicable.
2.5 Nothing in this Agreement prevents a regulator, court or other competent authority from determining the legal character of the relationship under applicable law.

4.3 The Rider or driver must not operate a Vehicle that is unsafe, overloaded, defective, illegally modified, unregistered, unroadworthy or subject to an expired document. The Rider or driver must stop using the Vehicle immediately if it becomes unsafe.
4.4 The Rider or driver must secure all food and parcels so that they cannot fall, leak, contaminate, damage property or endanger road users.
4.5 BagyesRUSH may require a periodic inspection, photograph, document upload or physical verification. Failure to satisfy a reasonable safety check may result in temporary suspension until corrected.
5. Insurance
5.1 Before accepting Deliveries, the Rider or driver must maintain, at the Rider’s or driver’s cost, motor-vehicle insurance issued by an approved insurer and valid for the actual use of the Vehicle, including commercial courier/delivery use where required by the insurer or law.

5.4 On request, the Rider or driver must provide a current certificate of insurance, policy schedule, proof of premium/payment and any endorsement showing permitted delivery use. BagyesRUSH may suspend the Rider or driver immediately where cover is absent, expired, misrepresented or reasonably appears insufficient for lawful operation.
5.5 The Rider or driver must report any accident, theft, loss, injury, claim or material insurance event to BagyesRUSH, and the insurer as soon as reasonably practicable and, where required, to the Ghana Police Service or other authority. The Rider or driver must cooperate with investigations and claims.

7.4 The Rider or driver must not transport cash, weapons, controlled substances, illegal goods, hazardous materials, live animals or other prohibited items unless BagyesRUSH has expressly approved the category and all legal requirements are satisfied.
7.5 The Rider or driver must not collect unauthorised cash, tips, fees or additional charges. Cash-on-delivery is not supported on BagyesRUSH platform.
8. Earnings, commission and the new-rider promotion

8.3 The promotion is available once per Rider or driver account and is not transferable. It does not apply to duplicate, fraudulent, previously deactivated, reactivated or related accounts, or where BagyesRUSH reasonably determines that the account was created to misuse the promotion.
8.4 The promotion means only that BagyesRUSH will not deduct its ordinary platform commission from eligible Delivery earnings during the Free Commission Period. It does not waive:
- taxes or statutory deductions required by law
- customer refunds, chargebacks or reversals
- penalties or adjustments arising from the Rider’s or driver’s breach, fraud, loss, damage or failure to reconcile cash
- payment-processing and service fees, or other pass-through costs expressly shown in the Platform or

8.5 After the Free Commission Period, the standard commission and fee schedule displayed in the Platform will apply. BagyesRUSH will give reasonable notice of material changes, except where an immediate change is required by law, fraud prevention, safety or a third-party service change.
8.6 BagyesRUSH may withhold or adjust a disputed amount while investigating suspected fraud, duplicate claims, missing cash, false proof of delivery, customer refund, damage or other reasonable discrepancy. BagyesRUSH will provide a reasonable explanation and restore any amount found to be improperly withheld.
8.7 Payments will be made to the Rider’s or driver’s verified mobile-money or bank account according to the payout schedule displayed on the Platform. The Rider or driver is responsible for ensuring account details are correct.
9. Costs and equipment
Unless expressly stated otherwise in the Platform, the Rider or driver bears all costs of operating the Rider’s or driver’s business, including fuel, charging, maintenance, repairs, depreciation, registration, licensing, insurance, data, phone, parking, tolls, taxes, protective equipment and delivery equipment.
10. Customer service and conduct
The Rider or driver must treat customers, merchants, recipients, BagyesRUSH staff and other road users respectfully and without harassment, discrimination, threats, violence, sexual misconduct or abusive language. The Rider or driver must not make unauthorised marketing statements, promise refunds, solicit customers off-platform, or exchange personal contact details for an improper purpose.
11. Confidentiality and intellectual property
11.1 Confidential information includes customer names, phone numbers, addresses, order contents, access codes, prices, routes, merchant information, Platform data, algorithms, business information and non-public BagyesRUSH materials.
11.2 The Rider or driver may use confidential information only to perform a Delivery or comply with law. The Rider or driver must not copy, sell, publish, disclose, screenshot, scrape or retain it longer than necessary.
11.3 BagyesRUSH grants the Rider or driver a limited, revocable, non-exclusive, non-transferable permission to use the Platform, BagyesRUSH name, branding and materials only to perform this Agreement. No ownership is transferred.
12. Privacy and data protection

12.4 Where BagyesRUSH appoints a third-party processor, BagyesRUSH will use a written arrangement and appropriate confidentiality and security measures as required by applicable law. The Rider or driver must cooperate with reasonable privacy and security procedures.
13. Records, monitoring and communications
13.1 The Rider or driver consents to lawful Platform records, GPS/location data during an active Delivery, delivery timestamps, proof-of-delivery records, support communications and incident records being used for the purposes in this Agreement and the privacy notice.
13.2 BagyesRUSH may monitor Platform activity and investigate service, safety, fraud, privacy or compliance issues. Monitoring will not require the Rider or driver to keep the Platform active when the Rider is not working.
13.3 Notices may be sent through the Platform, SMS, WhatsApp, email or the postal/address details provided by the Rider or driver. The Rider or driver must keep contact information current.
14. Suspension and termination
14.1 Either Party may terminate this Agreement by giving 7 days’ written notice, unless a different period is required by law.
14.2 BagyesRUSH may immediately suspend or terminate access where reasonably necessary for safety, legal compliance, loss of required licence/insurance, fraud, theft, violence, serious misconduct, data breach, material breach, repeated poor performance, tampering with the Platform, or risk to a customer, merchant, recipient or the public.
14.3 The Rider or Driver may immediately stop accepting Deliveries and terminate where BagyesRUSH materially breaches this Agreement and fails to remedy the breach within a reasonable period after written notice, subject to any rights that cannot lawfully be excluded.
14.4 On termination, the Rider or driver must complete or properly return any active Delivery as directed, return BagyesRUSH equipment, reconcile funds, stop using BagyesRUSH branding and delete/return confidential information. Accrued payment rights and clauses intended to survive termination will continue.

15.3 BagyesRUSH is not liable for indirect or consequential loss, loss of profits or loss of opportunity, except to the extent such exclusion is prohibited by law. Nothing limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, breach of confidentiality/data obligations, or any liability that cannot lawfully be limited.
16. Dispute resolution and governing law
16.1 The Parties will first attempt in good faith to resolve a dispute through BagyesRUSH Customer support and then management escalation within 14 days.
16.2 This Agreement is governed by the laws of the Republic of Ghana.
16.3 Subject to any mandatory mediation, regulatory or consumer-protection process, the courts of Ghana have jurisdiction over disputes arising from this Agreement. The Parties may agree in writing to mediation or arbitration in Ghana.
17. General
17.1 This Agreement, its Schedules, the Platform terms, the fee schedule and the privacy notice form the agreement between the Parties concerning the Rider’s or driver’s services. If there is a conflict, the mandatory law prevails; otherwise, this Agreement prevails over a general Platform message unless the message expressly states that it amends this Agreement.
17.2 Any amendment must be communicated in writing or through a secure electronic process that identifies the Parties and preserves the amended record. The Rider’s or driver’s continued use of the Platform after the stated effective date constitutes acceptance only where permitted by law and where the amendment was properly notified.
17.3 If a provision is invalid or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue.
17.4 The Rider or driver may not transfer this Agreement or allow another person to use the Rider’s account. BagyesRUSH may assign this Agreement to an affiliated entity or successor that assumes its obligations, subject to law.
17.5 This Agreement may be signed electronically. The Parties agree that a secure and verifiable electronic signature, click acceptance, OTP confirmation or other agreed electronic method may evidence assent, subject to Ghana’s Electronic Transactions Act, 2008 (Act 772) and applicable law.
